END-USER LICENSE AGREEMENT

IMPORTANT: PLEASE READ THIS END-USER LICENSE AGREEMENT ("EULA") CAREFULLY BEFORE USING THIS SOFTWARE. BY INSTALLING, COPYING, OR OTHERWISE USING THE SOFTWARE, YOU AGREE TO BE BOUND BY THE TERMS OF THIS EULA.
1. Definitions
a. "Software" means the QuickBooks Data Access Application (including updates and modifications) provided by Play At Scale Services, LLC ("Provider").
b. "User" means any individual or entity using the Software.
c. "Financial Data" refers to any financial information accessed or processed by the Software (including accounting records, transactions, and reports).
d. "QuickBooks Data" means data retrieved from QuickBooks Online via the QuickBooks API.
2. License Grant
Subject to the terms of this EULA, the Provider grants the User a non-exclusive, non-transferable, revocable license to use the Software solely for accessing, processing, and analyzing Financial Data from QuickBooks Online in compliance with applicable laws and QuickBooks API guidelines.
3. Restrictions
a. The User shall not modify, reverse engineer, decompile, or disassemble the Software.
b. The User shall not sublicense, distribute, or otherwise transfer the Software or any derivative works without the Provider’s express written consent.
c. The Software must not be used in any manner that violates any applicable laws or infringes on any intellectual property rights.
4. Intellectual Property
All intellectual property rights in the Software and related documentation are owned by the Provider or its licensors. No rights are transferred to the User except as expressly granted in this EULA.
5. Data Security and Confidentiality
a. The Provider implements industry-standard security measures to safeguard Financial Data.
b. The User is responsible for maintaining the confidentiality of their login credentials and any sensitive information.
c. The User agrees to comply with all relevant data protection laws and notify the Provider immediately in the event of any unauthorized access or breach.
6. Disclaimer of Warranties
a. THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE.
b. THE PROVIDER DOES NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR THAT ALL DEFECTS WILL BE CORRECTED.
7. Limitation of Liability
IN NO EVENT SHALL THE PROVIDER BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR EXEMPLARY DAMAGES (INCLUDING LOSS OF PROFITS, DATA, OR USE) ARISING FROM THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
8. Indemnification
The User agrees to indemnify and hold harmless the Provider from any claims, damages, or losses arising out of or in connection with the User’s use of the Software or breach of this EULA.
9. Termination
This EULA remains in effect until terminated. The Provider may terminate this EULA immediately upon breach by the User. Upon termination, the User must cease using the Software and destroy all copies.
10. Governing Law and Dispute Resolution
This EULA shall be governed by the laws of Snohomish County, Washington. Any disputes shall be resolved by binding arbitration in Snohomish County, Washington in accordance with the applicable arbitration rules.
11. Miscellaneous
a. This EULA constitutes the entire agreement between the parties regarding the Software.
b. If any provision is found invalid or unenforceable, the remaining provisions shall remain in full force and effect.
c. No waiver by the Provider of any breach shall be deemed a waiver of any subsequent breach.
BY USING THE SOFTWARE, THE USER ACKNOWLEDGES THAT THEY HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THE TERMS OF THIS EULA.
